SecureUs Subscription Agreement Terms and Conditions

Welcome to SecureUs! 

These Terms and Conditions (“T&Cs”) apply when you subscribe to any SecureUs Subscription Service Packages or SecureUs Software as a Service Subscription. Please read them carefully, as they outline your rights and responsibilities.

 

By clicking a box indicating your acceptance of this agreement or by executing a service order that references this agreement, you agree to all terms and conditions of this agreement. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions and that you do hereby bind such entity to these terms and conditions. If you do not have such authority, or if you do not agree with all of these terms and conditions, then you must not accept this agreement and may not access or use the service.

1.             IMPORTANT INFORMATION

This Agreement sets out the terms under which SecureUs provides personalized subscription services and related devices to subscribers.

1.1              Key Points to Note:

i               Some terms may limit SecureUs's liability or that of third parties.

ii             Other terms may create obligations or liabilities for you.

iii           You may also be required to indemnify SecureUs or third parties under certain conditions.

iv           By agreeing, you acknowledge specific facts outlined in this document.

1.2              Replacing Previous Agreements:
This Agreement replaces any earlier terms you may have agreed to with SecureUs regarding the same services or devices.

1.3              Changes to Offers:
SecureUs may modify or withdraw advertised deals without notice. For the latest details, visit https://www.secureusfs.com/ or contact one of our agents.

Errors and omissions are excluded.

1.4         Pricing: All prices listed include VAT.

 

By using our services or purchasing our devices, you accept these Terms and Conditions. Thank you for choosing SecureUs!

2.             DEFINITIONS

All definitions used in the Agreement are specified in Annex A.

2.             USE OF THIRD PARTIES, PRIVACY AND USE OF DATA

At SecureUs, we value your privacy and are committed to protecting your personal information. Here's how your data is handled:

2.1         Your Personal Information:

By using our services, you consent to the collection, processing, and storage of your personal information in accordance with our Privacy Policy and applicable data privacy laws.

2.2         Third-Party Assistance:

To provide and support your subscription services, we may engage trusted third parties to act on our behalf.

2.3         Sharing Your Information:

We may share your personal information with these third parties, but only to the extent necessary to deliver the subscription services to you.

2.4         Marketing Communications:

As a SecureUs customer, you may receive direct marketing messages about our services or related offerings. If you prefer not to receive these, you can opt out at any time.

3.             PLACING ORDERS FOR SUBSCRIPTION SERVICES

Here’s how you can subscribe to SecureUs and what to expect:

3.1              How to Subscribe:

You can place an order for a SecureUs subscription through:

A.     A designated SecureUs representative, or

B.      The SecureUs web portal, or

C.      A Corporate Employee Benefits Programme, if SecureUs has an agreement with your employer.

3.2              Your Order as an Offer:

When you place an order, it serves as an offer to subscribe to SecureUs services and acknowledgement and agreement with the Terms and Conditions of this Agreement.

3.3              Eligibility to Subscribe:

Our services are available to:

A.   Natural and/or juristic persons within the country of subscription, subject to applicable laws.

B.   Natural persons who are 18 years or older or have attained legal majority status.

3.4              Access Devices as Accessories:

Devices provided are considered accessories to facilitate your SecureUs subscription service. Subscription devices remain the property of SecureUs unless you or your Employer has selected the Buy Out option, in which case your subscription is a Software as a Service Subscription and the Terms and Conditions of this agreement remain binding on you.

3.5              Device Details:

3.5.1   The Details of your selected package will be emailed to you.

3.5.2   Devices provided are brand new.

3.5.3   Mobile devices may be unpackaged for user enrolment purposes.

3.6              Your Legal Capacity:

By subscribing, you confirm that:

3.6.1   You have the legal capacity to enter into this Agreement.

3.6.2   Your legal status is not restricted by any court or authority within your country of subscription or laws outside the country that affect your status locally.

3.7              Right to Refuse Orders:

SecureUs reserves the right to decline any subscription order at its discretion, provided such refusal does not violate the law.

 

4.    WHAT DOES YOUR SUBSCRIPTION INCLUDE?

Your selected subscription package will include either:

A.     SecureUs Subscription Service

The selected SecureUs Subscription Service Package will be billed monthly for the elected subscription term and will include the following:

i         The selected SecureUs Mobile Device Package.

ii       Soft Lock Pro

iii     SecureUs APP

The SecureUs APP includes the following:

·         Entry Digital Identity Protection.

·         SecureUs Care Device Insurance and Subscription Cover. (On finalisation of your subscription order, your SecureUs Care Policy documents will be emailed to you.)

OR

B.      Software as a Service Subscription

SecureUs Software can only be used with a SecureUs Subscription Device. Where you or your employer has elected to Buy Out the subscription device upfront, your subscription package will be a Software as a Service Subscription, which will be billed monthly for the elected subscription term and will include the following:

i           SecureUs APP

The SecureUs APP includes the following:

·         Entry Digital Identity Protection.

·         SecureUs Care Device Insurance. (On finalisation of your subscription order, your SecureUs Care Policy documents will be emailed to you.)

 

5.    PROVISION OF SIMS

Should your elected subscription package include a SIM then:

5.1    Connection of SIMs:

The SIMs shall be delivered to the Customer unconnected to the Network and shall be connected (activated) at the request of the Customer upon receipt of the SIMs subject to compliance with RICA requirements. The Customer acknowledges that in terms of RICA, SecureUs is required to verify and record all the information relating to the Customer and the Customer is obliged to record and store in terms of RICA all the information relating to the Users.

5.2              Ownership of SIM:

SIMs shall remain the property of SecureUs and are provided for the Customer’s use of the Services.

 

6.    SUBSCRIPTION TERM

Here’s what you need to know about the duration of your SecureUs subscription:

6.1         Subscription Duration:

When you subscribe to SecureUs, you commit to a term of either 12 or 24 months, based on your choice.

6.2         Subscription Continuity:

Your subscription will remain active for the chosen term unless:

i       It is terminated by operation of law.

ii     Either you or SecureUs terminate it according to the provisions outlined in this Agreement.

6.3         End of Term:

The subscription will conclude on the date of payment for the final month of your chosen term.

6.4         Amendments to Subscription Terms:

SecureUs may update or modify subscription terms and periods at any time. These updates may be offered at our discretion and will not affect existing subscriptions already agreed upon.

6.5         Changes or Withdrawal of Subscriptions:

SecureUs reserves the right to withdraw or alter any subscription offering. Changes will not impact subscriptions you have already paid for, unless we are unable to fulfil your subscription. In such cases, the REFUNDS AND CANCELLATIONS SECTION of this Agreement will apply.

 

7.           VERIFICATION REQUIREMENTS

To activate and deliver your SecureUs subscription, we require certain documents to verify your identity and address.

7.1              Required Documentation:

The service is conditional upon you providing clear and verifiable identification documents with valid and accurate information.

7.2              Identity Verification:

When your device is delivered, you must present one of the following original, government-issued identification documents:

i           Identity Card, or

ii         Passport.

7.3              Consequences of Non-Compliance:

Failure to provide the required documents will delay the verification process, which may prevent SecureUs from fulfilling its obligations under this agreement.

7.4              Address Verification:

If your billing or delivery address does not match the address on your identification document, you must provide an alternative official document (recognized by law) to confirm your address.

 

8.             OWNERSHIP OF SUBSCRIPTION DEVICES

8.1         Device Ownership During Subscription:

SecureUs retains ownership of all subscription devices for the duration of your subscription unless you or your employer opts for a full Buyout as outlined in FEES AND PAYMENT Section.

8.2    Restrictions on Use:

You may not sell, transfer, or otherwise dispose of the device to any person or entity during the subscription period.

 

9.           DEVICE BUYOUT

9.1         Buyout Option:

SecureUs offers the option to purchase your subscription device by paying the Buyout Price. This option is available:

A.      At the start of the subscription period, OR

B.      At the end of the elected subscription period.

9.2         Ownership Transfer:

Once the Buyout Price is paid in full, ownership of the device transfers to you. SecureUs will provide a letter confirming your ownership of the device.

9.3         Continued Software Services:

After buying out the device, you can opt to continue using SecureUs software through a separate Software-as-a-Service subscription. (SecureUs Care Device Insurance is only available where the SecureUs software use continues.)

 

10.         IF NO DEVICE BUYOUT OCCURS

10.1     Returning the Device:

At the end of the subscription term, the device must be returned to SecureUs for decommissioning. Once decommissioned, the device is released from service.

10.2     Remote Decommissioning or Alternative Actions:

10.2.1        If the device can be decommissioned remotely or if the cost of collecting the device exceeds its value, SecureUs reserves the right to transfer, sell, or otherwise dispose of the device.

10.2.2        Decommissioned devices may also be repurposed for marketing initiatives or sold as part of SecureUs operational goals.

10.3     Status of Decommissioned Devices:

Once decommissioned, the device is no longer associated with SecureUs services or subscriptions.

10.4     Transfer of Rights:

SecureUs may transfer or assign its rights and interests in this Agreement, including those related to devices, without your prior consent. Notice may be provided to you at SecureUs’s discretion.

 

11.       FEES AND PAYMENT

11.1     Payment Obligation:

The subscription fee shall be due and payable to SecureUs:

(a)     By you if subscribed through the SecureUs web portal. The subscription order day will remain your payment day for the duration of the subscription.

(b)     By your employer if the subscription is part of a corporate benefits program, deducted monthly from your salary.

(c)     By your employer if they have agreed to cover the monthly subscription fee as part of a corporate program, in which case SecureUs will bill your employer.

11.2     Subscription Fee Inclusions:

The subscription fee includes device cost, insurance, digital identity services, and soft-lock monthly costs.

11.3     No Set-Off Rights:

You may not withhold, set-off, or reduce payments for claims against SecureUs arising under this Agreement.

 

12.       LATE PAYMENT / NON-PAYMENT

12.1     Late Payment Fee:

SecureUs reserves the right to levy late payment or pro-rata fees.

12.2     Suspension for Non-Payment:

If payment is not received, SecureUs may suspend services, including locking devices.

12.3     Debt Collection:

Unresolved accounts may be referred to third-party debt collectors to recover outstanding payments and devices.

12.4     Service Blocking:

SecureUs reserves the right to block devices, networks, or other services until payments are resolved. Once payment is received, services will be restored within 24 hours.

12.5     Liability for Blocking/Unblocking:

SecureUs is not liable for damages or data loss resulting from service suspension or restoration.

 

13.       AMENDING SUBSCRIPTIONS

13.1     Subscription Changes:

You may amend your subscription by contacting SecureUs customer service (See CUSTOMER SERVICES SECTION for details).

13.2     Price Adjustment:

You are liable for any price differences resulting from amendments.

13.3     SecureUs Discretion:

SecureUs may amend subscriptions due to stock limitations or other reasonable circumstances.

13.4     Discounts:

SecureUs may offer discounts on amended services at its discretion.

 

14.         RENEWAL OF SUBSCRIPTION

14.1     Automatic Renewal:

Subscriptions automatically renew unless cancelled per REFUNDS AND CANCELLATION Section or terminated as per the TERMINATION OF SUBSCRIPTION Section.

14.2     Device Use Continuity:

Devices remain in use until the subscription ends or is amended.

14.3     Upgrade/Downgrade Options:

You may upgrade or downgrade your subscription at the end of the subscription term or with SecureUs consent during the term, subject to stock availability.

 

15.         SUSPENSION OF SUBSCRIPTION SERVICES FOR NON-PAYMENT

15.1     Suspension Conditions:

SecureUs may suspend services or block devices in the following cases:

(a)     Non-compliance with terms.

(b)     Regulatory directives.

(c)     Other contractual provisions.

 

16.       THEFT / LOSS OF SUBSCRIPTION DEVICE

16.1     Reporting:

Report theft or loss within one (1) business day to SecureUs for device blocking. The claim must be lodged on the SecureUs application via your SecureUs agent. Should you need to contact SecureUs, the contact details are contained in the CUSTOMER SERVICE section.

16.2     Device Blocking:

SecureUs will electronically disable stolen or lost devices to prevent unauthorized use.

16.3     Fees for Blocking/Unblocking:

Reasonable fees may apply for device suspension, disconnection, or reconnection.

16.4     Post-Termination Blocking:

Devices may be blocked upon service termination.

 

17.         TERMINATION OF SUBSCRIPTION

17.1     Termination for Non-Compliance:

SecureUs may terminate the Agreement if you fail to remedy breaches within three (3) business days of notice.

17.2     Outstanding Fees:

You are liable for all unpaid fees and reasonable cancellation charges upon termination.

17.3     Recovery Costs:

SecureUs may recover costs related to:

(a)     Tracing you or the device.

(b)     Legal actions.

(c)     Collection commissions.

(d)     Device repossession, repair, and storage.

17.4     Termination Effects:

SecureUs will remove all service-related software from devices upon termination.

 

18.         COLLECTION PROCEDURE

18.1     Repossession Rights:

SecureUs may repossess devices for breaches or misconduct.

18.2     Third-Party Assistance:

SecureUs may engage third parties to recover devices or payments.

18.3     Customer Obligations:

You must deactivate passwords and remove accounts from devices before collection.

18.4     Locked Device Fee:

A fee will apply for unlocking locked devices.

 

19.         LOSS/DAMAGE OF DEVICE

19.1     Reporting Loss/Damage:

Inform SecureUs within one (1) business day of device loss or damage. The claim must be lodged on the SecureUs application via your SecureUs agent. Should you need to contact SecureUs, the contact details are contained in the CUSTOMER SERVICE section.

19.2     Payment Obligations:

You remain liable for all subscription fees regardless of device loss or damage.

 

20.         REFUNDS AND CANCELLATION

20.1     Cooling-Off Period:

Cancel subscriptions within five (5) business days for a refund, less a 5% cancellation fee.

20.2     Refund Timeline:

Refunds will be processed to the original payment method within 3–4 working days.

20.3     Indemnity for Delays:

You indemnify SecureUs against liabilities arising from refund delays.

20.4     Refund Eligibility:

Refunds apply only if SecureUs cannot fulfil the subscription or in exceptional circumstances, assessed case-by-case.

20.5     Cancellation by SecureUs:

SecureUs may cancel subscriptions for non-payment or breaches, with reasonable notice where applicable.

 

21.         LIABILITY

21.1     You indemnify and hold SecureUs and our affiliate companies harmless against any expense, loss, claim, harm, or damage brought against, suffered, or sustained by SecureUs and our affiliate companies, which arises directly or indirectly out of a breach of the terms of this Agreement by you or by your use of the Services and/or the device, other than in respect of losses caused by the gross negligence or intentional misconduct of SecureUs and our affiliate companies or any of their respective employees, directors or agents.

21.2     Without affecting the generality of 18.1 above, SecureUs shall not be liable to you for any breach of this Agreement or failure on SecureUs part to perform any obligations as a result of technical problems relating to the device(s), termination of any license to operate or use the software, act of God, government control, restrictions or prohibitions or other government act or omission, whether local or national, industrial disputes or any other cause beyond the control of SecureUs .

 

22.       SECUREUS CARE – DEVICE COVER

22.1     DEVICE COVER

22.1.1        Scope of Cover:

22.1.1.1           Your device has been insured by SecureUs through Auto & General Insurance Company Limited (the Insurer). The ALL-RISK cover protects against accidental, unforeseen physical loss or damage, (including theft and liquid damage) occurring within South Africa. Cover is limited to two incidents per year per mobile device

22.1.1.2           In the event of damage, the mobile device will either be restored to its state of serviceability immediately before the damage or it will be replaced with the same make and model.  Should the same make and/or model no longer be available, the replacement mobile device will be of the same value and similar functions as the original mobile device at the time of loss.  This will be done at the discretion of the Insurer.

22.1.2        What Is Not Covered

22.1.2.1           The costs of replacing, reinstating or making good wear and tear, gradual deterioration, scratching or other superficial damage to outer casings, aerials or keypads;

22.1.2.2           Loss or damage to batteries, other than when they are stolen or lost together with the mobile device;

22.1.2.3           Loss or damage arising from a manufacturer’s defect; Loss, damage or defect that is covered under the manufacturer’s warranty;

22.1.2.4           Consequential loss of any kind whatsoever (e.g. loss of valuable data on your mobile device or damage caused to someone else’s property); 

22.1.2.5           Loss of or damage to accessories and or car kits;

22.1.2.6           Loss or damage to the SIM card; and 

22.1.2.7           Unlawful airtime usage.

22.1.3        What We Expect of You:

Certain terms and conditions need to be met before a claim can be validated.  Here is how you, as the end user of the mobile device, can assist:

22.1.3.1           Don’t leave the mobile device:

                                                                                  i.                   Unattended and unsecured in your car (it must be locked in the cubby hole);

                                                                                ii.                   Unattended while it is charging;

                                                                              iii.                   Exposed in a public place, place of recreation, mall or social occasion where it is vulnerable for easy removal or damage; and

                                                                              iv.                   Unattended when unknown persons or 3rd parties are in your home, office or similar area.

22.1.3.2           Be aware of:

                                                                             i.                        Loading software or applications from unknown sources;

                                                                           ii.                        Electronically conveyed viruses;

                                                                         iii.                        Jamming devices that could impact the mobile device;

                                                                         iv.                        Safeguarding the mobile device at all times; and

                                                                           v.                        Damage to the mobile device arising from political or non-political riot, strike or civil commotion, public disorder, war, invasion, terrorism or public violence.

22.1.3.3           Don’t hire or loan the mobile device to another person;

22.1.3.4           Don’t deliberately damage the mobile device in any way;

22.1.3.5           Don’t remove the protective cover;

22.1.3.6           Don’t have the mobile device repaired yourself;

22.1.3.7           Provide reasonable assistance in the recovery of the lost or stolen mobile device and identification thereof, and

22.1.3.8           Any damaged or stolen and recovered mobile device which is replaced becomes the property of the Insurer.

 

22.2     SUBSCRIPTION COVER (Not applicable to Software as a Service Subscription)

22.2.1        Scope Of Cover:

If, during the period of your subscription agreement, you are no longer able to pay your required obligations, as a result of your succumbing to either retrenchment, death or disability, SecureUs, through 1Life Insurance Limited (the Insurer) has insured the value of your outstanding subscription obligation.

22.2.2        Documentation Requirements:

22.2.2.1       Should an event occur which gives rise to a claim, the following documentation will be required from you or your family:

                                                                                         i.            Death

-          Certified copy of your death certificate

-          Certified copy of your identity document. 

                                                                                       ii.             Temporary or Permanent Total Disability

-          A written account of your position and the circumstances leading to the disability.

-          Doctor’s certificate confirming your condition

-          For temporary disability, financial evidence that you have been financially affected due to the disability. 

-          A further medical examination of you may be required, at no extra cost to yourself.

                                                                                     iii.            Retrenchment

-          A written account of your position and the circumstances leading to the retrenchment.

-          Official confirmation from your employer for the date and reason of the retrenchment.

-          During the continued period of unemployment, we will need monthly proof that you are still unemployed.  Any costs incurred in securing this proof will be borne by yourself.

22.2.2.2       Should you or your family fail to adequately provide the necessary documentation to confirm the circumstances causing your inability to pay your subscription fees, this will be viewed as a breach of obligations which may lead to a cancellation of this subscription agreement.

 

22.3     WHEN DOES THE COVER END:

22.3.1                     Device cover will continue for the period of your subscription agreement or until two claim incidents have occurred on the device.

22.3.2                     Subscription cover will continue for the period of your subscription agreement or until a valid claim has been made and settled.

22.3.3                     If there is a fraudulent claim or an attempt thereat on either the device or subscription cover, all cover will be cancelled immediately, and the relevant Insurer will recover any amount already paid in respect of the claim.

 

22.4     WHAT MUST YOU DO IN THE EVENT OF A CLAIM:

22.4.1                     In the event of a claim in terms of the policy you must, within 1 business day of discovering the loss or damage, lodge a claim on the SecureUs application via your SecureUs agent. Should you need to contact SecureUs, you can do so via

22.4.2                     .

22.4.3                     Each time you have a valid device claim, there is a co-payment which must be applied before the claim can proceed:

An additional R250 is payable for any device claim made within the first 60 (sixty) days of cover.  Maximum number of 2 claims per 12-month period.

22.4.4                     Additional requirements for a device claim:

                                                            i.            Within 30 (thirty) days of the damage or loss you must have reported and supplied all relevant information and details of the claims we have requested, or your claim may be repudiated.

                                                        ii.              In the event of stolen or lost mobile device you must report the  occurrence within 48 hours to the South African Police Services,

                                                      iii.              Documentary evidence of a police reference number must be obtained and sent to SecureUs together with the completed claim form.

                                                         iv.            In the event of a break-in at your home, office, vehicle, storage facility (including locker, drawer or storage compartment), or any other building or dwelling, proof of forcible entry may be required.

 

23.       YOUR UNDERTAKINGS

You shall –

23.1          Comply with all instructions issued by SecureUs which concern your use of the services, the devices or related matters; and

23.2          Not be entitled to commercially exploit the services in any manner whatsoever without SecureUs prior written consent, including without limitation, the provision of telephony services or alienating the device to third parties;

23.3          Provide SecureUs with all such necessary information as SecureUs may, in its sole discretion, reasonably and lawfully require; and

23.4          Engage with SecureUs, other members of the SecureUs Company and their respective staff and agents in a courteous, cordial and respectful manner at all times.

 

24.         OUR RESPONSIBILITY TO YOU

24.1              We shall not be responsible for any failure by us to perform our obligations to you in relation to your subscription where this failure is caused by circumstances beyond our control. We are however under a legal duty to supply goods that are in conformity with our agreement with you.

24.2              We shall not be responsible for any failure to deliver your subscription if you have supplied us with an incorrect address for delivery or you provided an incorrect contact number.

24.3              Our liability to you in connection with your subscription will not exceed the total subscription term or fees charged for your current subscription period (being in all cases a maximum of 18 months).

24.4              We exclude all other liability to you to the extent permitted by law. Our exclusions of liability shall not apply to any damages arising from death or personal injury caused by our negligence or that of any of our employees or agents.

 

25.       GENERAL PROVISIONS

25.1     Entire Agreement

This Agreement constitutes the entire agreement and understanding of the Parties with respect to the subject matter hereof and supersedes and terminates all other prior commitments, arrangements, or understandings, both oral and written, between the Parties with respect thereto. This Agreement may not be modified or amended except by an instrument in writing executed by each of the Parties. None of the provisions of this Agreement will be deemed to have been waived by any act or acquiescence on the part of either Party, their agents, or employees, but may be waived only by an instrument in writing signed by an officer of the waiving Party. No waiver of any provision of this Agreement on one occasion will constitute a waiver of any other provision or of the same provision on another occasion.

25.2     Governing Law:

This Agreement shall be governed by and construed in accordance with Law of the Republic of South Africa.

25.3     Binding Effect

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assignees.

25.4     Severability.

In case any one or more of the provisions or portions of provisions, of this Agreement shall be deemed by any governmental authority to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions, or portions of provisions contained herein shall not be in any way affected or impaired thereby.

25.5     Omissions or Delays

No omission or delay on the part of any party hereto in requiring a due and punctual fulfilment by the other party hereto of the obligations of such other party hereunder shall be deemed to constitute a waiver by omitting or delaying party of any of its rights to require such due and punctual fulfilment of any other obligation hereunder, whether similar or otherwise, or a waiver of any remedy it might have.

25.6     Assignment and Succession

This Agreement shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns but shall not be assignable by any party other than a Person acquiring substantially all of its business and assuming all of its obligation and liabilities, except with the written consent of the other party. In the event of any such assignment the transferor or assignor shall remain obligated to perform its own obligations and in addition shall be jointly and severally liable for the proper performance of the obligations of the transferee or assignee pursuant to this Agreement.

25.7     Modifications

Any modifications to this Agreement must be in writing and signed by a proper and duly authorized representative of the party to be bound thereby.

25.8     Remedies Not Exclusive

No remedy conferred by this Agreement is intended to be exclusive of any remedy, except as expressly provided, and each and every remedy shall be cumulative and in addition to every other remedy given under this Agreement for now or in the future existing in law or in equity or by statute or otherwise.

25.9     Right of third parties

This Agreement is not made for the benefit of, nor shall any of its provisions be enforceable by any person other than the parties to this Agreement and their respective successors and permitted assignees.

25.10 Waivers

The Parties irrevocably waive any right it may have to claim damages and/or rescission for:

 i.     any misrepresentation not contained in this Agreement; or

ii.     any breach of any warranty or undertaking (other than those contained in this Agreement) whether express or implied, statutory, or otherwise; unless such misrepresentation, warranty or undertaking was made fraudulently.

25.11  Notices

Any notices or other communications required or permitted hereunder will be in writing by email, subject to ‘read receipt’ or personally delivered at the principal business addresses designated at the beginning of this Agreement, or mailed by registered or certified mail, return receipt requested, postage prepaid, at the address set forth above, or to such other address or addresses as may be hereafter furnished by one Party to the other Party in compliance with the terms hereof.

26.2              SecureUs reserves the right, in its sole discretion, to vary these terms and conditions. SecureUs may elect, in its sole discretion, to notify the Customer of such variation in writing or to publish such variation at its principal place of business, or on https://www.secureusfs.com/

26.3              These terms and conditions constitute the whole agreement between the parties relating to the Service and no representations or warranties other than those set out herein shall be binding on the parties, save for any amendment affected in terms of the AMENDMENT OF SUBSCRIPTION section above.

26.4              In the event of any one or more of these terms and conditions being unenforceable, the same will be deemed to be severable from the remainder of the terms and conditions which shall nevertheless be binding and enforceable.

Annexure A: Definitions

When considering this Agreement, please note that –

1.       “Buy Out” means an option for the subscriber / customer to purchase the subscription device at an agreed cost.

2.      “Corporate Employee Benefits Programme” means a formal agreement between SecureUs and an Employer whereby the Employer has entered into a contractual agreement with SecureUs to provide certain subscription benefits to designated employees.

3.      “device” means any mobile device or cell phone, or any other similar electronic product offered through SecureUs.

4.      “Monthly Subscription” shall mean the period of 30/31 days from the first payment date or arrangement date as applicable, to the same date or day of the following week or month subject to normal calendar days, adjusted for February or leap year dates.

5.      “Notice” shall mean any form of communication, including digital or otherwise, issued by SecureUs, its agents or its affiliated third parties to inform the customer/client of the status of their order, including but not limited to, missed payment, missed late payment or any other official communication.

6.      “SecureUs Insurance” means device insurance and credit life insurance included in this SecureUs Subscription Service agreement.

7.      “SecureUs Mobile Devices” means mobile devices offered by SecureUs on a subscription basis;

8.      “SecureUs Software” means software as a service licensed by SecureUs and offered to the customer on a subscription basis;

9.      "SecureUs Subscription Service", "our services", or "the service" means the personalised services provided by SecureUs for accessing and using devices and software, including all features and functionalities associated with our services or devices.

10.  “Service Devices” means any SecureUs subscription device that the customer has agreed to subscribe to for an elected subscription term, and will remain the property of SecureUs for the duration of the subscription term unless the customer has elected to Buy Out the device;

11.  The use of the words “we”, “us” and “our” refers to SecureUs Services.

12.  Words indicating any one gender shall include the others and the singular shall include the plural.

13.  "days" shall mean calendar days unless qualified by the word "business", in which instance a "business day" shall mean any day other than a Saturday, Sunday or public holiday as gazetted by the National Government from time to time.

14.  Unless specifically otherwise provided, any number of days prescribed shall be determined by excluding the first and including the last day or, where the last day falls on a day that is not a business day, the next succeeding business day.

15.  The use of the expression "but not limited to" by SecureUs indicates that the prescribed list is not a closed one and that there may be other matters not listed to which the clause applies.
